Terms of Service

1. Agreement and eligibility
These terms apply when you access Ai Adit or use an account. You must be at least 18, have authority to bind the organization you represent and provide accurate account and qualification information. Registration alone does not guarantee approval, inventory or credit. An order form or commercial agreement may add service-specific terms and controls over these general terms if the documents conflict.
2. Service description
Ai Adit operates a managed cloud platform that receives provider credentials, allocates approved Keys exclusively, records lifecycle and usage events, calculates official-price usage and maintains account ledgers. We are not the model provider and do not control a provider’s models, policies, account actions, price changes or availability.
3. Account security
You are responsible for authorized users, secure passwords, interface tokens and activity under your account. Keep contact and company details current, grant access only to personnel who need it and notify us promptly if an account, token or Key may have been compromised. We may require a credential rotation or additional verification to protect the service.
4. Provider Key custody
A provider Key assigned to your account is exclusive to that account but remains a provider-issued credential; allocation does not transfer ownership of the provider service. You receive a limited, revocable right to use the Key for approved purposes. You must store it securely and must not publish, resell, sublicense or transfer it outside the approved organization or use case.
5. Acceptable use
You may not use Ai Adit to break applicable law, violate provider terms, bypass safeguards, conceal abusive automation, distribute malware, probe systems without permission, interfere with other customers, obtain unauthorized access or create material security or reputational risk. You must follow restrictions imposed by each originating provider and promptly cooperate with a reasonable abuse investigation.
6. Usage reporting
You must provide usage through an approved automatic integration, reporting API or manual submission. Reports should include the available model, Token, time, request and Key-matching data. Delayed or incomplete data may be accepted and reconciled later so normal operation can continue. Corrections retain an audit trail, and duplicate source events may be ignored through idempotent processing.
7. Pricing, billing and credit
Usage is always recorded at the official provider price applicable at the time of use. Discounts, deposits, credits and terms in an order form or commercial agreement affect settlement only; they do not rewrite the official usage price or source usage record. Deposits, current balance, credit limit and private payment adjustments are separate ledger concepts, and a credit limit is not cash. Any initial Key allowance permits allocation before prepayment but does not make resulting provider usage free. We may pause further allocation when the applicable allowance and available funds are exhausted, while preserving records and lawful collection rights.
8. Confidentiality and intellectual property
Each party must protect non-public business, technical, pricing and credential information received from the other and use it only for the relationship, subject to customary legal and adviser disclosures. Ai Adit and its licensors retain rights in the platform, documentation, branding and software. You retain rights in information you provide and authorize us to process it only as needed to operate, secure and support the service.
9. Third-party services
Provider APIs, cloud platforms, New API deployments and other integrations are third-party services governed by their own terms and privacy notices. You are responsible for maintaining permission to connect them. Changes, suspension, outages or errors in a third-party service may affect Ai Adit functionality and do not create control or responsibility over that third party.
10. Service availability and changes
We use reasonable efforts to keep allocation, reporting and records available, but do not promise uninterrupted or error-free operation. We may change interfaces, security requirements or supported providers to improve the service, meet provider rules or address risk. Where practical, we will give notice of a material change that requires customer action.
11. Suspension and termination
We may restrict new allocation, rotate or disable credentials, suspend access or terminate service for non-payment, material breach, suspected compromise, unlawful use, provider instruction or urgent risk. When circumstances permit, we will provide notice and an opportunity to cure. Account closure does not remove accrued charges or records that must be retained for billing, audit, security or legal purposes.
12. Disclaimers
To the extent permitted by applicable law, the service is provided on an “as available” basis. We disclaim implied warranties that cannot reasonably apply to a managed credential and accounting service, including guarantees about provider output, fitness for a particular model use, uninterrupted third-party access or future provider pricing. Mandatory rights remain unaffected.
13. Liability and indemnity
Neither party is liable for indirect, incidental, special or consequential loss to the extent that exclusion is permitted by applicable law. Any monetary cap or negotiated allocation of risk is the one stated in the applicable order form or commercial agreement; without one, liability is limited only as applicable law permits. You are responsible for claims arising from your unlawful use, unauthorized Key distribution or material violation of provider terms, subject to any defense and indemnity procedure agreed in writing.
14. Orders, disputes and changes
The governing law, forum and dispute process are those stated in the applicable order form or commercial agreement. If none is stated, governing law and dispute venue will be determined under applicable law. We may revise these terms with a new effective date and reasonable notice for material changes. If one provision is unenforceable, the remaining provisions continue. Questions may be sent to contact@aiadit.com.
